About the role

The ideal candidate will have three to five years of Corporate M&A experience, with private equity transaction experience preferred. This role may be based in Charleston, Charlotte, Miami, Nashville, Pittsburgh, Portland, Raleigh, or Seattle.

Responsibilities

  • Work closely with experienced lawyers to provide active mentoring and opportunities to assume increasing levels of responsibility and client contact.
  • Work independently and as part of a team, possessing the ability to self-start.
  • Assume meaningful responsibility for managing and closing M&A and related transactions.
  • Conduct legal due diligence.
  • Understand and advise clients on general corporate/entity matters and business matters.
  • Manage and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related documents.
  • Understand and advise clients on representation and warranty insurance underwriting and related issues.

Qualifications

  • Strong M&A experience, including drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related documents. Private equity experience is a plus.
  • Experience with partnership agreements, joint ventures, and limited liability company operating agreements.
  • Meaningful responsibility for managing and closing M&A and related transactions.
  • Conducting legal due diligence.
  • Experience with representation and warranty insurance underwriting and related issues.

Pay

Base Compensation $205,000 - $340,000 / year

The compensation salary for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors.
