Mid-to-Senior Level Corporate Associate Attorney – Startups & Venture Capital

About the Role

A highly regarded corporate practice is seeking a mid-to-senior level Corporate Associate to join a sophisticated team advising startups, emerging companies, founders, and venture capital investors. This opportunity is particularly attractive for an attorney who has developed strong emerging companies and venture capital experience and wants to work closely with businesses operating at the forefront of technology and life sciences. The role offers exposure to companies throughout their growth journey, from early-stage formation and financing through later-stage strategic transactions.

Responsibilities

• Advise high-growth companies and investors on a broad range of corporate and transactional matters
• Startup and emerging company formation and governance
• Seed, early-stage, and later-stage venture capital financings
• Representation of founders, companies, and institutional investors
• Corporate governance and ongoing strategic counseling
• Equity and capitalization matters
• Complex commercial and strategic transactions
• Advising technology and/or life sciences businesses throughout their growth lifecycle
• Working alongside attorneys across complementary transactional practices
• Develop substantive client relationships and become a trusted advisor to founders, executives, investors, and growing businesses

Qualifications

• 3+ years of experience in a sophisticated corporate practice
• Meaningful experience representing startups, emerging companies, and/or venture capital investors
• Experience with, or a demonstrated affinity for, technology and/or life sciences companies
• M&A and/or capital markets experience is advantageous
• Strong drafting, analytical, communication, and interpersonal skills
• Excellent academic credentials
• Ability to manage sophisticated transactions while working effectively with clients and deal teams
• JD
• Previous experience working in a law firm
• Admission in the jurisdiction where they intend to practice, or eligibility to sit for or waive into the applicable bar
• Attorneys currently working in-house are also encouraged to apply where they have prior law firm experience

Compensation

The anticipated base salary range for this position is $260,000 – $390,000, depending on experience and other relevant factors.
