Key Responsibilities
- Draft and negotiate definitive and ancillary transaction documents for M&A and joint ventures
- Manage and coordinate due diligence processes
- Advise private companies, investors, and portfolio companies on complex corporate matters
- Support private equity-backed transactions, particularly in the middle market
- Counsel clients on financings, entity formation, governance, and commercial agreements
- Handle multiple matters efficiently while taking on increasing responsibility and client contact
Candidate Profile
- Juris Doctor (JD) required
- 3–6 years of transactional experience gained at a law firm
- Strong background in mergers and acquisitions and complex corporate transactions
- Experience with private equity-backed deals strongly preferred
- Excellent drafting, communication, and analytical skills
- Admitted (or eligible for admission) in the relevant U.S. jurisdiction
