Deloitte's M&A Services is the recognized marketplace leader among large professional services firms in providing merger, acquisition, and divestiture services to Private Equity investors and their portfolio companies. As a Senior Manager in M&A Financial Due Diligence (FDD), you will be a trusted Private Equity partner, translating sharp insights into clear decisions and measurable action.
Responsibilities
- Advise on financial, commercial, and technical accounting matters related to transactions, including business combinations, consolidations, share-based compensation, revenue recognition, leases, intangible assets, and financial instruments.
- Identify and evaluate business, industry, financial, accounting, and tax risks and opportunities associated with transactions and assess their potential implications.
- Provide insights on historical and projected earnings, cash flows, contingencies, commitments, exposures, asset quality, and internal control structures.
- Review financial models and transaction documents, including stock purchase agreements, merger agreements, bank finance agreements, and public debt offering documents.
- Support transaction execution through purchase price adjustment mechanisms, deal structuring considerations, integration planning, divestiture planning, and post-transaction transition activities.

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth, investment, and divestiture scenarios. Services include M&A strategy and transaction diligence, integration, separation planning and execution, transaction structuring and financing, and portfolio value creation support.
M&A advises Private Equity clients across inorganic growth and divestiture scenarios through M&A strategy, diligence, value creation, integration/separation planning and execution, transformation, financial and modeling services, and transaction financing.

The FDD team delivers clear, actionable insights that support transaction decisions, identify risks and opportunities, and help clients create value across the deal lifecycle. The team looks beyond the numbers to provide advice that drives informed action, faster decisions, and stronger outcomes in a fast-moving market.
Qualifications
- Bachelor's degree.
- 8+ years of experience applying United States Generally Accepted Accounting Principles (GAAP).
- 8+ years of experience in investment management within industry or in a consulting environment serving investment management clients.
- Experience advising on technical accounting matters related to mergers and acquisitions (M&A).
- Experience reviewing financial models and transaction documents, including stock purchase agreements, merger agreements, bank finance agreements, or debt offering documents.
- Ability to travel 25%, on average, based on the work you do and the clients and industries/sectors you serve.
- Limited immigration sponsorship may be available.
- Preferred: Certified Public Accountant (CPA) or Chartered Accountant (CA).
- Master's degree in finance, accounting, or business administration.
- Experience in audit at a large public accounting firm.
Pay
The wage range for this role takes into account factors such as skill sets, experience and training, licensure and certifications, and other business and organizational needs. The disclosed range estimate has not been adjusted for geographic differentials. A reasonable estimate of the current range is $171,600 to $338,300.
You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, where an award, if any, depends on various factors including individual and organizational performance.
