About the role
We're looking for a Managing Counsel - M&A Lawyer to join our team. You will provide strategic legal support to corporate functions, focusing on mergers and acquisitions, divestitures, minority investments, warrants, joint ventures, and other strategic equity arrangements.
Responsibilities
- Provide legal support for mergers and acquisitions, divestitures, strategic investments, partnerships, joint ventures, minority investments, warrants, and other equity and related business development transactions.
- Structure, draft, review, and negotiate transaction documentation.
- Support due diligence processes, including identifying legal risks and coordinating with internal stakeholders and external advisors.
- Anticipate, identify, and manage legal, regulatory, and operational risks.
- Research and respond to legal and business questions arising from corporate and transactional activities.
Requirements
- 5+ years of experience practicing corporate law, including mergers and acquisitions and other complex corporate transactions.
- Experience advising on public company matters.
- Juris Doctor degree from a law school approved by the American Bar Association, or equivalent combination of education, related experience and/or military experience.
- Active license to practice law in at least one US jurisdiction, or ability to become licensed in the appropriate jurisdiction, or equivalent combination of education, related experience and/or military experience.
Qualifications
- Experience with minority investments, venture or strategic equity investments, and equity-linked instruments (e.g., warrants, convertible securities) preferred.
- Demonstrated ability to manage multiple transactions in a fast-paced environment.
Skills
- Strong legal research and writing skills.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.
