M&A Tax Senior Manager
About the role
The M&A Tax Senior Manager will partner with Business Development, Legal, Treasury, and Accounting business group leaders to manage analysis of tax and diligence issues surrounding acquisitions, divestitures, and investments. They will negotiate contracts and advise on structuring with respect to acquisitions, divestitures, and investments, including tax costs and tax attributes. The role involves working with outside tax advisors to analyze and document complex tax issues, developing recommendations, and presenting the economic and technical aspects of transactions to diverse audiences. Additionally, the M&A Tax Senior Manager will lead complex transactional step plans that incorporate legal, accounting, and tax effects of transactions and mentor and train team members.
Responsibilities
- Partner with Business Development, Legal, Treasury, and Accounting business group leaders
- Manage analysis of tax and diligence issues surrounding acquisitions, divestitures, and investments
- Negotiate contracts with respect to acquisitions, divestitures, and investments
- Advise on structuring with respect to acquisitions, divestitures, and investments, including tax costs (e.g., rates, repatriation) and tax attributes (e.g., NOLs, tax credits, etc.) with respect to potential transactions
- Work with outside tax advisors at major law firms and accounting firms to analyze and document complex tax issues
- Develop recommendations and present the economic and technical aspects of transactions to diverse audiences
- Lead complex transactional step plans that incorporate legal, accounting, and tax effects of transactions
- Mentor and train team members
Requirements
- Bachelor's degree or higher in Accounting, Finance, Taxation or related field, and/or a JD or LL.M. in Taxation
- Experience with consulting on tax due diligence, tax structuring, legal entity rationalizations, divestitures, and corporate reorganizations
- Prior background with tax technical research and modeling of tax attributes and deal related deductions
Qualifications
- Bachelor's degree or higher in Accounting, Finance, Taxation or related field, and/or a JD or LL.M. in Taxation
- Experience with consulting on tax due diligence, tax structuring, legal entity rationalizations, divestitures, and corporate reorganizations
- Prior background with tax technical research and modeling of tax attributes and deal related deductions

- Strong analytical and problem-solving skills

- Proficiency in Microsoft Office Suite

Pay
Compensation is commensurate with experience.
