M&A Tax Manager - Partnership Consulting & Modeling

Responsibilities

• Develop and implement transaction advisory services to meet client financial needs.
• Interact directly with Partners on client and engagement matters.
• Model financial transactions for valuation, structuring, and negotiation.
• Create detailed memoranda and presentations on client companies and industries.
• Assist in reviewing and analyzing tax aspects of acquisition and merger agreements.
• Draft tax opinion letters and memoranda.
• Identify and analyze tax risks and opportunities, advising on alternative tax strategies.
• Review and advise clients on tax computations in financial models.
• Assist clients in analyzing tax data in financial projections for transactions.
• Conduct research and financial analysis on target companies.
• Support due diligence for both buy side and sell side transactions.
• Structure transactions for tax and accounting issues.
• Negotiate support during client transactions.
• Communicate with business owners to ensure exceptional client service.
• Participate in various marketing and recruiting activities of the firm.

Qualifications

• Bachelor's degree in finance, Accounting, or related field required; or graduate degree and 4 years of related work experience.
• Certified Public Accountant (CPA) or JD/LLM required.
• Experience in tax due diligence, deal structuring, and post-acquisition planning.
• International tax research, planning, and compliance experience.
• Demonstrated analytical, problem-solving, organizational, interpersonal, project management, and Microsoft Suite skills.
• Strong written communication skills.
• Commitment to continuous learning, ethical knowledge, and quality work.
• Urgency and commitment to timely completion of duties.

Pay

The compensation range for this role is $130,000 to $215,000. Actual compensation is influenced by a variety of factors including but not limited to skills, experience, qualifications, and geographic location.
