M&A Tax Manager

Job Overview

We’re seeking an experienced M&A Tax Manager with deep U.S. federal tax expertise to support transaction planning, due diligence, and complex restructuring initiatives.

Key Responsibilities

• Lead M&A tax due diligence and review target financial/tax data
• Model acquisition structures and internal restructuring scenarios
• Perform IRC analyses and asset vs. stock acquisition comparisons
• Calculate inside/outside basis for subsidiaries and partnerships
• Support liquidations, contributions, and related computations
• Prepare tax disclosures for completed transactions
• Affiliate with federal return review and special projects
• Conduct tax research and prepare technical memos

Requirements

• 8+ years of U.S. M&A and federal tax experience (public accounting)
• Strong Subchapter C knowledge; consolidated return experience a plus
• Bachelor’s in Accounting required; MST, CPA, or JD is a plus
• Advanced Excel skills
• Ability to manage multiple projects, work cross-functionally, and dive deep into details while keeping a strategic view
