Responsibilities

  • Aid in buy-side and sell-side tax due diligence for mergers and acquisitions (M&A) transactions.
  • Analyze historical tax filings, workpapers, and financial statements to identify and quantify tax exposures related to income, sales/use, payroll, property, and unclaimed property.
  • Create call agendas for tax due diligence meetings with target management.
  • Evaluate tax attributes such as net operating losses (NOLs) and credits, considering limitations under Section 382/383.
  • Prepare tax due diligence reports and executive summaries detailing key findings, risks, and structuring considerations.

Requirements

  • Bachelor’s degree from an accredited college/university in accounting or finance required.
  • Masters in Taxation, or JD in tax and/or LLM preferred.
  • Two to four years of tax due diligence experience at public accounting, Big 4, advisory firm, or comparable environment.
  • Strong understanding of US federal and state income tax principles applicable to M&A transactions.
  • Experience reviewing tax returns, financial statements, and supporting schedules.
  • Strong analytical, organizational, and written communication skills.
  • Proficiency in Excel and common tax research tools.

Preferred Qualifications

  • CPA, JD, or progress toward certification.
