About the role

The Legal & Governance Chair provides leadership regarding nonprofit governance, organizational compliance, ethics, risk management, and board effectiveness. The Chair helps ensure that Guideship operates in accordance with applicable laws, its governing documents, and nonprofit best practices.

Responsibilities

  • Review and recommend updates to bylaws, policies, and governance practices.
  • Support board recruitment, orientation, and succession planning.
  • Monitor compliance with nonprofit laws and regulations.
  • Review conflict-of-interest disclosures and governance matters.
  • Coverage with outside legal counsel when needed.
