About the role

IFS Softeon is seeking an experienced attorney for the role of Corporate Counsel. This position is for a thoughtful transactional attorney to assist with all legal obligations, including negotiating high-value commercial contracts, corporate governance, M&A, and dispute management.

Responsibilities

• Serve as primary attorney for new sales transactions, including drafting and negotiating software license agreements, consulting agreements, SaaS agreements, and other commercial contracts.
• Lead Biz Ops calls and collaborate with business teams, providing accurate and timely legal advice to Sales, Services, Finance, Marketing, and Partner teams.
• Serve as lead attorney for legal operations, improving processes and developing standard contract terms.
• Handle corporate governance matters and provide legal support for audit, tax/treasury, HR/employment disputes, and real estate matters (leases, construction, etc.).
• Work collaboratively with the broader legal team by sharing knowledge, assisting team members, and contributing to legal newsletters and training.
• Support global legal projects and coordinate with outside counsel as needed.
• Maintain up-to-date knowledge of laws and regulations, and perform other tasks as assigned by the General Counsel.

Requirements

• Juris Doctor from an ABA-accredited law school.
• A minimum of 3 years of commercial transactional experience at a law firm and/or in-house legal department.
• Licensed and in good standing to practice law in one or more states.
• Experience drafting and negotiating commercial contracts.
• Strong attention to detail and ability to prioritize competing demands in a fast-paced environment.
• Ability to work independently and make sound judgments in ambiguous situations.
• Strong interpersonal, written, and oral communication skills.
• Interest in being a legal generalist with a "roll-up your sleeves" attitude.

Qualifications

• Experience as an in-house attorney, preferably for a technology company.
• Experience drafting and negotiating software/cloud/SaaS agreements.
• Experience handling disputes without the assistance of outside counsel.

Pay

Salary Range: $125,000 to $150,000 annually + bonus.
