About the role

The Legal Counsel will assist the Head of Legal - North America in delivering independent, efficient legal advice and services to mitigate legal, commercial, and contractual risk for the business within the North American region. This position, located in the Las Vegas office, will take lead responsibility for commercial contracts and advice to procurement functions, and will support other internal divisions and stakeholders, including Nevada Projects, Greenfields Exploration, Global Supply Chain, Human Resources, and the broader Group Legal Team.

Responsibilities

  • Provide proactive legal advice and oversee external legal advisors as necessary.
  • Assist in legal review of all contracts within the North American region, including drafting and negotiating contractual documents to reflect appropriate risk allocation.
  • Act as primary point of contact for regional and global procurement teams, conducting legal review and negotiations with counterparties and advising on procurement strategy.
  • Counsel the regional land function on legal issues affecting unpatented mining claims and other real property interests.
  • Assist in providing legal advice to environmental and permitting teams regarding permitting requirements and litigation risk mitigation.
  • Support corporate-level transactions, including mergers and acquisitions, financing transactions, and internal regional restructuring.
  • Provide strategic support for the North American water rights portfolio, including leases, acquisitions, and regulatory matters.
  • Advise the regional Human Resources function on employee-relations matters and policy review.
  • Advise on legal responsibilities and compliance with legal and commercial obligations.
  • Address corporate secretarial requirements, including maintenance of company records and annual filings.
  • Assist in the resolution of litigation and disputes within North America, including management of outside counsel.
  • Support the Group Legal Team with corporate matters, including contract review, securities disclosures, and M&A transactions.
  • Stay abreast of legal developments and industry standards to provide expert advice.
  • Assist in educating the region on relevant legal developments through training sessions.
  • Review and advise on drafts of regional policies and procedures.
  • Perform other duties as assigned by the Head of Legal - North America.

Requirements

  • Bachelor’s Degree.
  • Juris Doctor degree from an accredited law school.
  • 5-10 years’ experience in a top-tier law firm and/or in-house legal role.
  • Significant experience negotiating high-value commercial contracts with minimal oversight.
  • License to practice law (and currently in good standing) in any U.S. state, territory, or the District of Columbia (licensure in NV and/or CO is a plus). Non-NV attorneys must apply for the in-house counsel exemption under Nevada Supreme Court Rule 49.1(1)(h).
  • Valid U.S. work authorization.

Preferred Qualifications

  • Prior experience working in highly regulated industries, especially mining.

Pay

$140,000 to $200,000 + Bonus Incentive
