About the role

We are hiring a Legal Counsel (Debt Capital Markets) to support end-to-end financing strategy and execution across the North America region. This role sits at the intersection of Legal, Treasury, and regional leadership, with a functional reporting line to the VP, Legal (Debt Capital Markets) in New York and a dotted line to local and EMEA leadership. You will partner closely with internal stakeholders on early-stage financing strategy, customer contracting, legal due diligence, transaction execution, and post-closing lender requirements. Your work will be central to supporting complex financing activity across the US.

Responsibilities

  • Financing Strategy & Structuring
    • Support early scoping of financing strategies in partnership with Treasury.
    • Advise on legal considerations that shape financing structures for US projects.
    • Partner with leadership to address financing needs at the outset of project planning.
    • Provide early-stage financing strategy support for EMEA projects where needed.
  • Contracting & Documentation
    • Work with leadership to incorporate financing terms into customer documents and other key project documents at early stages.
    • Integrate collateral contract requirements into customer contracting workflows.
    • Review commercial documentation to align customer arrangements with financing objectives.
    • Manage negotiation of transaction documents across financing matters.
  • Diligence & Transaction Execution
    • Lead legal due diligence for US projects.
    • Coordinate with Treasury on tax financing diligence.
    • Oversee external counsel and support coordination across banks and law firms.
    • Drive timely completion of transaction negotiations and execution workstreams.
  • Approvals, Drawdowns & Ongoing Lender Management
    • Oversee authorizations and board approvals required for transactions.
    • Drive satisfaction of lender conditions precedent for drawdowns.
    • Handle post-closing lender maintenance, including amendments and waivers.
    • Maintain legal support across the full lifecycle of financing arrangements.
  • KPIs
    • Timely completion of legal due diligence and transaction negotiations.
    • Execution of approvals and lender conditions precedent for drawdowns.
    • Ongoing management of lender amendments and waivers.
    • Early-stage financing strategy support for EMEA projects.

Requirements

  • 3–6+ years of relevant legal experience.
  • JD and active license in at least one U.S. state bar.
  • Experience in a market-leading project finance, real estate finance, or asset finance law firm practice and/or in-house at a reputable institution.
  • Exposure to a variety of debt products.
  • Ability to manage end-to-end financing transactions across structuring, diligence, negotiation, and closing.
  • Tech-fluent and eager to adopt new tools, including AI tools, PowerPoint, and Excel, to streamline legal execution.
  • Knowledge of data center and GPU financing is a significant advantage.
  • Strong attention to detail and a high standard of execution.
  • Commercial acumen and sound judgment in complex transactional environments.
  • Ability to operate autonomously in a fast-paced environment.

Pay

Salary Range: $300,000 USD - $400,000 USD. Actual compensation may vary based on job-related factors such as skill set, experience, education, and location. In addition to base salary, this role may be eligible for bonus, equity, and/or commission programs.
