Legal Counsel - Commercial & Integration Attorney (Contract)

Key Responsibilities
- Manage legal workstream for vendor contract integration, including defining fit for purpose approach, drafting, reviewing, and negotiating external-facing product and vendor contracts;
- Supporting the North American sales organization and go-to-market efforts by Advising the sales and partnerships teams on deal structure and contract negotiations, including advising on legal risks and legal liabilities associated with contractual arrangements;
- Representing Nearmap’s interests and interfacing directly with opposing counsel and negotiation teams;
- Attending to legal-related requests and enquiries from internal stakeholders;
- Attending to legal-related external customer support requests and enquiries;
- Ensuring compliance with applicable laws, including those specific to the insurance sector and data privacy;
- Working with the global legal team on projects as needed.
Qualifications
- JD or equivalent degree, admitted to the bar, and in good standing or otherwise authorized to practice law in the United States;
- Minimum 5-8 years legal experience, with a combination of in-house experience (ideally within an insurance or SaaS environment) and law firm transactional experience preferred;
- Strong experience in drafting and negotiating complex enterprise contracts, including but not limited to software licensing (SaaS - vendor side), licensing arrangements involving artificial intelligence, machine learning and machine derived attributes, and data privacy;
- Able to operate in a fast-paced work environment and proven ability to address complex problems and business needs while reasonably balancing risk;
- Must be able to, and be comfortable giving, commercially-focused, pragmatic legal advice in simple to understand language.
Skills
- Strong interpersonal communication skills needed to be an effective business partner;
- Strong time management, prioritization, and organizational skills;
- Able to handle matters with minimal supervision;
- Profi cient in MS Office suite of products and experience with systems such as Salesforce, Conga, JIRA, and Slack preferred.
