Legal and Compliance Manager (Attorney)

About the Role

A global digital media and marketing company serving the regulated online gambling industry is seeking an experienced legal & compliance manager to join its legal team and support its international operations. The work will involve advising on commercial contracts, corporate transactions, M&A, and general corporate matters. The attorney will also support regulatory, licensing, and KYC compliance initiatives and manage the day-to-day work of the KYC/compliance team. Additional responsibilities will include assisting with SEC filings, subsidiary governance, intellectual property, employment, and other general legal matters.

Responsibilities

• Assist with the Company’s overall European and U.S. legal strategy and compliance program.
• Play a managerial role in significant corporate transactions, including commercial matters, corporate finance, M&A, and intellectual property management.
• Assist with SEC filings as necessary.
• Manage the ongoing implementation of best practices relating to legal department projects such as commercial contracts, intellectual property, employment, immigration, licensing, and compliance matters.
• Assist with global commercial and M&A matters.
• Focus on global KYC and compliance matters and ensure the ongoing implementation of best-practice processes and procedures.
• Assist with the formation, establishment, and ongoing compliance of subsidiaries.
• Draft, review, and negotiate legal documents and commercial contracts and provide feedback on legal terms and conditions.
• Manage regulatory projects and ongoing follow-up concerning local regulatory developments.
• Provide effective legal advice and support across the Company.
• Assist the SVP, General Counsel, and Legal team with general matters.
• Travel occasionally as required.

Requirements

• Trained as an attorney in a medium or large law firm or a Big Four firm (Am Law 200 experience preferred). This does not have to be a barred attorney.
• Experience in commercial law, including commercial contracts, and corporate law in the United States, Ireland, or the United Kingdom.
• Wide-ranging experience in commercial, corporate, and contract law transactions, preferably with an international element.
• Understanding of EU, Irish, U.K., or U.S. laws and regulations in the areas of commercial and corporate law.
• Flexibility and adaptability, with an aptitude and appetite to manage and learn about multijurisdictional legal matters.
• A self-starter with the confidence to work autonomously in a fast-paced environment across multiple time zones and manage a varied workload.

Schedule: Full-time

Duration: 4 month engagement

Compensation: $90 - $110 per hour

Required: The selected worker will be employed (W-2) by a workforce solutions company for the duration of the engagement. The work will be performed remotely.
