About the role
Handling legal issues related to bids, new business propositions, project financing, and strategic transactions (including joint ventures, equity, and debt transactions). The role involves providing legal support on complex, high-value infrastructure projects, including long-term concession arrangements, with a strong focus on risk identification, mitigation, and value protection.
Responsibilities
- Provide legal assistance with financing transactions, including project finance, refinance, and other financial documents.
- Draft, review, negotiate, and finalize commercial, service, consultancy, lease, license agreements, and other contracts, including Shareholders’ Agreements (SHA), Share Purchase Agreements (SPA), and Joint Venture Agreements.
- Provide legal support for sector-specific contracts, MOUs, and operational agreements.
- Develop and maintain contract templates and checklists; actively manage the contract lifecycle and ensure compliance.
- Provide legal assistance in bidding processes and project documentation (including RFPs, RFQs, concession agreements, and related bid documents) for domestic and international projects, including legal review, risk allocation, and deviation analysis.
Key Interactions
- External: Interaction with external counsels; discussion and negotiation with counterparties.
- Internal: Discuss strategy with user teams for structuring transactions; assist user teams in negotiating transactions.
Requirements
- LLB (minimum qualification).
- 3–8 years of relevant experience in contracts, corporate law, and transactional work.
- Experience in handling:
- Financing and project finance transactions (debt and equity).
- Equity transactions including SHA, SPA, JVA, etc.
- Bidding and infrastructure project documents (RFP, RFQ, concession agreements, EPC, etc.).
- Commercial contracts including service, consultancy, lease, and license agreements.
- Cross-border transactions and regulatory compliance (including RBI/FEMA).
