JOB SUMMARY

We are looking for a highly organized and detail-oriented technology transactions paralegal to support a fast-paced in-house legal team focused on enterprise technology, commercial contracting, and emerging technology initiatives, including AI-related matters. This role will support attorneys responsible for negotiating and managing a broad range of technology agreements and advising internal business stakeholders on legal and operational risk issues. This paralegal will be an essential resource for the team to more effectively and efficiently manage its workflow and better enable the team's ability to deliver the highest quality legal services to our business partners. The ideal candidate is proactive, adaptable, intellectually curious, and comfortable working cross-functionally with legal, procurement, information security, IT and business teams.

KEY DUTIES AND RESPONSIBILITIES

  • Assist with preparation, review, redlining, negotiation, and administration of commercial and technology-related agreements, including:
    • SaaS Agreements;
    • Software License Agreements;
    • Professional Services Agreements;
    • IT Support and Maintenance Agreements;
    • NDAs;
    • Statements of work; and
    • Order forms and renewals.
  • Cook up contract intake, routing, approvals, and tracking processes.
  • Maintain contract templates, clause libraries, negotiation trackers, and legal process documentation.
  • Support legal review workflows in partnership with Strategic Sourcing, Information Security, Privacy, Risk, and IT business stakeholders.
  • Aid in tracking and organizing AI-related vendor reviews, questionnaires, and governance documentation.
  • Help identify and escalate contractual, operational, and compliance issues to attorneys as appropriate.
  • Conduct basic legal and business research related to technology vendors, contracting issues, and operational processes.
  • Support legal operations and process improvement initiatives, including knowledge management and workflow optimization.
  • Assist with outside counsel and vendor coordination as needed.

EDUCATION AND EXPERIENCE

  • Education: Bachelor’s degree and/or paralegal certificate strongly preferred.
  • Years of Relevant Work Experience: 3+ years of paralegal, contracts administration, legal operations, or related experience preferred.

SPECIFIC KNOWLEDGE AND SKILLS

  • Experience reviewing or administering commercial contracts required; experience with technology transactions (SaaS, software licensing, technology services, etc.) strongly preferred.
  • Strong organizational skills and attention to detail.
  • Familiarity with contract lifecycle management systems and legal workflow tools preferred.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Comfortable working independently while exercising sound judgement regarding issue escalation.
  • Proficient with MS Office suite – including MS Word, Excel, Outlook, and PowerPoint.
  • Strong verbal and written communication skills.
  • Interest in technology, AI, and operational risk management strongly preferred.
