About the Team

Anduril’s Legal Team seeks a Legal Counsel‑International to support our international government and commercial businesses and deploy the future technology of defense. This role will be part of Anduril’s Deal Team, which supports the full lifecycle of Anduril contracts and includes government contracts lawyers, contract managers, and proposal managers. The position partners closely with International Trade Compliance, Business Development, and Program teams across the Asia‑Pacific and Americas regions.

About the Role

In this role you will provide legal review and guidance on proposals, procurement, contracting strategies, and day‑to‑day program execution for the applicable Anduril Division. You will own terms‑and‑conditions redlines and negotiations end‑to‑end for international commercial and government contracts, including hardware, license, and services agreements, offset arrangements, and industrial cooperation obligations. A working knowledge of U.S. government contracts, the FAR, and DFARS is useful, and familiarity with Direct Commercial Sales (DCS), Foreign Military Sales (FMS), and hybrid structures is valued.

What You’ll Do

  • Drive customer growth by executing new international contracts and expanding existing ones.
  • Own review, redlining, and negotiation of international master agreements, purchase order T&Cs, license, hardware, and services agreements, while building reusable playbooks.
  • Assist in strategy development for new business in the Asia‑Pacific and Americas regions.
  • Manage relationships with procurement, contracting, and legal counterparts at foreign ministries of defense and allied procurement agencies.
  • Provide legal counsel and day‑to‑day management of the entire acquisitions lifecycle, including proposal evaluation, contract monitoring, key negotiations, performance issue resolution, risk identification, and compliance.
  • Negotiate software, hardware, and services contracts, offset arrangements, and advise on intellectual property, data rights, and general compliance matters.
  • Collaborate with International Trade Compliance to ensure alignment with ITAR, EAR, and sanctions requirements.
  • Represent the legal team with outside counsel, vendors, engineers, executives, customers, and regulators.
  • Develop contracting approaches for delivering technology to foreign government customers and negotiate governing law, arbitration, sovereign immunity waivers, payment security, and Incoterms.
  • Partner with Business Development and program teams to structure and negotiate offset and industrial cooperation obligations in markets that mandate them (e.g., Korea, Taiwan).

Required Qualifications

  • 3+ years of experience in international commercial contracting and/or international government/defense contracts, defense trade, or U.S. government contracts matters, preferably with a law firm, defense industry, or government.
  • Demonstrated ability to structure and negotiate cross‑border commercial agreements, including governing law, dispute resolution/arbitration, payment security, and Incoterms.
  • Judgment and initiative to make risk‑adjusted decisions and own multiple end‑to‑end projects.
  • Strong communication and interpersonal skills.
  • Quick learner able to contribute across a broad legal function (IP, litigation, financing, securities, compliance, employment law, etc.).
  • Licensed to practice law in California or eligible to register as in‑house counsel under California Rules of Court, Rule 9.46.
  • U.S. citizenship and ability to obtain and maintain a U.S. security clearance.

Preferred Qualifications

  • Experience working with foreign government customers in the Asia‑Pacific (e.g., Taiwan, Japan, Korea, Australia, Philippines, Singapore) or the Americas (e.g., Canada, Brazil, Colombia, Mexico).
  • Familiarity with regional defense frameworks and sensitivities.
  • Regional language capability (Mandarin, Japanese, Korean, Spanish, or Portuguese).
  • Experience with international teaming, agent/representative, or reseller structures, including FCPA‑compliant onboarding and due diligence.
  • Direct experience with foreign defense sales (DCS and/or FMS) – a strong plus.
  • Pre‑law‑school professional experience (e.g., military or government).
  • Combination of law‑firm and in‑house or government experience.
  • Experience with engineering, software, or other technology.
  • Passionate interest in the law and policy of defense acquisitions.
  • Ability and grit to operate independently within a rapidly evolving company.

Location

This role is based in Anduril’s Seattle office and is an in‑office position (not hybrid or remote). The position will require travel averaging about one week per month, including international travel to Asia‑Pacific and Americas customer sites, and flexibility to support calls outside standard business hours when not traveling.

Salary Range

US $220,000 – $292,000 (base salary only; actual offer may vary based on experience, education, critical skills, and business considerations).
