About the role
We are seeking a Paralegal to support Greg Russell and his practice in business transactional work. Greg has over 30 years of experience in a broad-based practice including external general counsel representation, mergers and acquisitions, corporate finance, real estate, succession and exit planning, and general business counseling.
Responsibilities
- Assist with external general counsel representation for businesses ranging from small companies to those with over $500 million in annual revenue, providing strategic legal and business advice aligned with client goals.
- Support mergers and acquisitions, including buyer and seller representation for closely-held and family businesses valued at $5 to $150 million, with a focus on due diligence, acquisition financing, and transaction efficiency.
- Assist in corporate finance and securities offerings, including capital raising for business acquisitions and commercial real estate, as well as formation of investment and real estate funds ($25 to $75 million).
- Support real estate transactions, including property acquisitions and sales, formation of special purpose entities, syndication, project financing (Fannie Mae, Freddie Mac, SBA), and drafting partnership/LLC agreements and financing documents.
- Help with succession and exit planning, including tax-advantaged business sales, next-generation transfers, and employee sales.
- Assist in general business matters, including shareholder and partner agreements, commercial transactions, asset and stock purchases, private placements of securities (Regulation D), and shareholder dispute resolution.
- Draft, review, and negotiate complex business agreements and executive compensation matters, including deferred compensation and incentive programs.
Qualifications
- Experience or strong interest in business law, mergers and acquisitions, corporate finance, real estate, or related transactional work.
- Familiarity with legal documentation for business transactions, securities, or real estate is a plus.
- Ability to work in a detail-oriented, fast-paced environment supporting complex legal and business matters.

He represents clients in industries ranging from small businesses to companies with over $500 million in annual revenue.
Greg is actively involved in his community, serving on the boards of Transforming Age and At Work! (where he is currently Chairman). He has been a volunteer lawyer with the Eastside Legal Assistance Program since 1991 and has contributed to numerous professional and civic organizations.
