Key Responsibilities
- Understands regulations in medical industries. Oversee corporate compliance, including HR policies, accounting standards, intercompany policies, and technical agreements; draft and maintain corporate policies, agreements, investor documents, and board minutes.
- Collaborate with accounting/audit teams to ensure financial compliance and reporting, while driving for anticipated IPO preparation and supporting post-IPO operations.
- Draft, negotiate, and manage contracts with vendors, customers, HR, strategic partners, landlords.
- Structure and negotiate licensing deals with major partners, including big pharma and CLIA labs; negotiate MOUs with governments and strategic stakeholders.
- Ensure compliance with federal, state, and international tax regulations while managing government contracts and healthcare-related regulatory requirements (e.g., FDA, IRB approvals, and liability management).
- Oversee compliance with all applicable laws and standards (state, federal, international) for direct-to-consumer products, clinical trials, informed consents, and risk management.
- Manage risk management, including insurance coverage negotiations, and lead potential litigation with cost-effective resolutions.
- Manage external law firms and vendors to ensure cost efficiency, negotiate effectively, and prevent unnecessary expenses.
- Support international market expansion by establishing compliant operations in new jurisdictions and setting up manufacturing plants.
- Build a lean legal function focused on cost savings and ensure agreements align with company goals and minimize risk.
- Lead cost efficiency/ reduction efforts by negotiating with suppliers, vendors, and legal firms while driving global growth initiatives.
- Provide leadership, mentorship, and legal expertise, supporting strategic initiatives and business development through strong written and oral negotiation skills.
Qualifications
- JD from a top-tier law school; active bar membership in good standing.
- 10+ years of legal experience (in-house and law firm), with expertise in healthcare, regulatory compliance, corporate governance, and IPO preparation.
- Strong track record in drafting, negotiating, and closing complex agreements with strategic partners, customers, vendors, and investors.
- Knowledge and experience in multi-jurisdictional operations, including setting up global operations.
- Experience negotiating public-private partnerships and drafting MOUs with government bodies.
- Exceptional negotiation, problem-solving, and communication skills (written and oral).
- Proven ability to reduce costs, negotiate effectively with suppliers and vendors, and achieve cost efficiency.
- Demonstrated ability to thrive in a fast-paced, high-growth, multi-disciplinary environment.
