Key Performance Objectives
Legal Operations
- Oversee and manage all legal matters and legal operations of the company, including M&A activities

- Lead the 4-person legal and compliance team, monitor and manage legal budgets and expenditures
- Oversee integration of technology and artificial intelligence (AI) programs into legal operations and company platforms to enhance efficiency and effectiveness

Compliance
- Develop, implement, and oversee the company's compliance program to ensure adherence to all applicable laws and regulations
- Ensure compliance with state-specific laws and regulations, including the California Consumer Privacy Act (CCPA) and Criminal Justice Information Services (CJIS) standards
- Serve as the primary legal advisor for public safety agencies, ensuring all operations meet relevant public safety regulations and standards
- Conduct regular compliance training and education for employees
- Monitor and report on compliance risks and issues
- Work with regulatory agencies and represent the company in compliance matters
- Ensure the company's policies and procedures are up-to-date and effective
Contracts
- Supervise the drafting, review, and negotiation of all contracts and agreements

- Maintain organized and accessible records of all contractual documents
Corporate Officer
- Act as a corporate secretary, maintaining company records and meeting minutes

- Support the board of directors in fulfilling their fiduciary duties
- Manage shareholder relations and communications as requested by the board of directors
- Advise on corporate structure and strategy
Support Sales, Go-to-Market, and Customer Success Teams
- Train team members on relevant changes in the law and funding considerations
- Provide legal support for all sales transactions from lead to close
- Collaborate with the sales and customer success teams to ensure compliance with legal and regulatory requirements throughout the sales process
- Regularly join sales and customer success teams on calls and in meetings with customers and their legal representatives to ensure accurate responses to procurement questions
Required Qualifications
- Juris Doctor (JD) degree from a top accredited law school
- Admittance to the state bar where the company operates
- Minimum of 10 years of experience in corporate law, commercial contracts, negotiations, and technology licensing, with significant experience in a senior legal leadership role
- Previous experience working in a SaaS environment
- Proven track record in legal operations, compliance, and contract management
- Strong understanding of corporate governance, and fiduciary duties
- Excellent leadership, communication, and interpersonal skills
- Ability to work effectively in a fast-paced and dynamic environment
- High ethical standards and integrity in professional matters
Preferred Experience
- 10+ years experience in commercial SaaS licensing environment
- 7+ years experience in contracting and procurement with public agencies
- Strong demonstrated experience managing legal teams and external counsel
- Strong analytical and problem-solving skills in fast-paced, high-volume environment
- Ability to effectively manage multiple priorities and projects that change daily
- Experience in handling mergers, acquisitions, and other complex transactions
- Previous experience working in a Private Equity portfolio company capacity

Compensation and Benefits
