Key Responsibilities
- Serve as a trusted advisor to the CEO and Board of Directors on legal, ethical, and business implications of company strategy.
- Lead corporate governance, including Board meeting preparation, minutes, and equity plan administration.
- Manage the company’s corporate structure and international expansion strategy.
- Draft, review, and negotiate complex commercial agreements, including SaaS licenses, vendor contracts, and strategic alliances.
- Oversee the full lifecycle of U.S. Government (USG) contracts, ensuring strict adherence to FAR/DFARS regulations.
- Partner with Business Development to accelerate deal cycles while protecting company interests.
- Act as the primary authority on Export Controls (ITAR/EAR) and ensure compliance with security clearance requirements.
- Stay ahead of the curve on evolving AI regulations, data privacy (GDPR/CCPA), and cybersecurity standards.
- Develop and implement internal policies and training to maintain a culture of compliance.
- Lead legal due diligence and execution for venture financing rounds, debt financing, and potential M&A.
- Manage and grow the company’s Intellectual Property (IP) portfolio, ensuring our AI innovations are robustly protected through patents, trademarks, and trade secrets.
The Ideal Candidate
- Experience: 10+ years of practicing law, with a significant tenure in-house at a high-growth technology or defense company.
- Education: J.D. from an accredited law school and active bar membership in good standing.
- Domain Expertise: Deep familiarity with government contracting, subcontracting, and the "Color of Money" (R&D vs. Procurement funds).
- Tech Literacy: Comfortable discussing AI/ML concepts, data rights, and technical architecture with Engineering teams.
- Soft Skills: A "business-first" mindset—the ability to find a path to "Yes" while maintaining a firm line on risk.
