Employee Benefits Attorney
About the role
We are seeking a motivated mid-level associate with at least 2 years of relevant experience to provide comprehensive counsel on employee benefits and executive compensation issues. The ideal candidate will support transactional, advisory, and compliance work, collaborating closely with colleagues in Employment & Labor, Tax, Corporate, and other practice groups to deliver integrated solutions for clients.
Key Responsibilities
- Advises clients on the design, drafting, implementation, amendment, and termination of tax-qualified retirement plans (e.g., 401(k), pension, profit-sharing), non-qualified deferred compensation plans, and executive compensation programs (including equity incentives, SERPs, and severance arrangements).
- Provides guidance on health and welfare benefit plans, including medical, dental, vision, life insurance, disability, flexible spending accounts, and COBRA/ACA compliance.
- Ensures compliance with ERISA fiduciary duties, reporting and disclosure requirements (e.g., Form 5500, Summary Plan Descriptions), IRS regulations, and other applicable laws.
- Conducts due diligence and advises on employee benefits aspects of mergers, acquisitions, divestitures, and corporate restructurings.
- Affords assistance with plan corrections under IRS and DOL programs (e.g., EPCRS, VFCP), audits, and enforcement actions.
- Drafts plan documents, amendments, summary plan descriptions, participant communications, and related agreements.
- Collaborates with clients, third-party administrators, actuaries, and other advisors to resolve complex benefits issues.
- Contributes to business development, thought leadership, and client relationship management within the practice group.
Qualifications
- J.D. from an accredited law school and active membership in good standing with the Pennsylvania Bar (or eligibility for admission via reciprocity or waiver).
- Minimum of 2 years of experience in employee benefits and executive compensation law, preferably at a law firm or in-house with a focus on ERISA and related matters.
- Strong academic credentials and excellent research, drafting, and analytical skills.
- In-depth knowledge of ERISA, IRC Sections 401-409/457/409A, ACA, COBRA, HIPAA, and other relevant federal and state laws.
- Experience with qualified and non-qualified plans, fiduciary compliance, and transactional benefits work is highly desirable.
- Proven ability to manage multiple projects in a fast-paced, client-focused environment.
