About the role

Katten, a global Am Law 100 law firm, is seeking a highly qualified Associate to join its Tax Department in the Executive Compensation and Employee Benefits Practice Group located in New York or Washington, DC.

Responsibilities

  • Experience in executive compensation and employee benefits matters, particularly with reference to corporate transactions, including due diligence in mergers & acquisitions;
  • Drafting, negotiating and counseling on executive compensation arrangements (equity, equity-based, incentive and nonqualified deferred compensation);
  • Research and counseling on compliance with the Internal Revenue Code, ERISA, securities laws and other laws governing executive compensation and employee benefit plans;
  • Work primarily transaction-related, largely for middle market M&A deals, and particularly with private equity sponsors;
  • Support from Katten’s robust corporate practice, including public company representation, sports representation and venture capital work.

Requirements

Candidates should have 3-5 years of experience in executive compensation and employee benefits matters, particularly with reference to corporate transactions, including due diligence in mergers & acquisitions; drafting, negotiating and counseling on executive compensation arrangements (equity, equity-based, incentive and nonqualified deferred compensation); 280G; 409A; and research and counseling on compliance with the Internal Revenue Code, ERISA, securities laws and other laws governing executive compensation and employee benefit plans.

Qualifications

The ideal candidate will have:

  • A Juris Doctor degree;
  • Admission to practice law in at least one U.S. jurisdiction;
  • Strong academic credentials;
  • Excellent written and oral communication skills;
  • Ability to work independently and as part of a team;
  • Proven ability to manage multiple projects simultaneously;
  • Experience in corporate transactions and executive compensation;
  • Knowledge of ERISA, securities laws and other relevant laws.
