About the role

K&L Gates is seeking a Special Projects Lawyer to join its Emerging Growth and Venture Capital practice group. This remote position requires candidates to be licensed and living in a state with a K&L Gates LLP office. The ideal candidate will have at least five years of relevant corporate experience and will support a range of special projects for the Emerging Growth and Venture Capital team. K&L Gates is a fully integrated global law firm with lawyers in more than 40 offices, ranking among the largest U.S.-based law firms. The firm emphasizes innovation, imagination, and an entrepreneurial spirit, guiding clients through complex issues across industries and regions.

Responsibilities

• Assisting with company formations and preparing basic formation documents, including certificates of incorporation, bylaws, subscription agreements, vesting agreements, board consents, and required qualifications
• Supporting equity issuances for emerging growth and venture capital clients
• Assisting with basic consulting and employment agreements
• Managing ongoing Carta administration and upkeep
• Maintaining data rooms and document repositories for client matters
