Responsibilities
- Advising on securitization transactions across SPG's asset classes, working closely with outside counsel and internal legal and compliance professionals
- Analyzing and providing legal advice to a cross-functional team of bankers, underwriting teams and syndicate members, in addition to operations, accounting and other support areas, including among other things, risk retention and execution issues
- Providing advice to sales and trading professionals regarding secondary market SPG trading issues, such as public/private information matters and the whole loan trading of residential mortgages
- Advising the business on legal matters relating to governance, compliance with relevant securities and banking laws and regulations, and operations, such as Firm policies and procedures, products and services and disclosures related to individual deals and ongoing initiatives
- Advising on a variety of cross-divisional initiatives, primarily involving Wealth and Investment Management
Qualifications
- 6-8 years of experience as a practicing attorney in securitizations (registered, 144A/Reg S and private) or structured finance, with a strong understanding of applicable securities laws
- Ability to work collaboratively and independently in a fast-paced environment on multiple projects; ability to think strategically and analyze and evaluate potential risks and mitigation alternatives from a legal, regulatory and franchise perspective
- Experience with banking and securities regulations, including familiarity with Reg AB II and US and European risk retention regulations as well as familiarity with applicable Basel capital rules
Pay
Expected base pay rates for the role will be between $165,000 and $275,000 per year at the commencement of employment.
