Director Tax
About the role
The Director of Tax is responsible for managing and supporting the Company's tax compliance, tax accounting, tax planning, and tax controversy activities. This role serves as a key advisor to executive management and business leaders regarding the tax implications of operational and strategic decisions while ensuring compliance with all federal, state, and local tax regulations.
Responsibilities
- Tax Compliance & Reporting
- Oversee the preparation and review of federal, state, and local income tax returns and supporting workpapers.
- Ensure accurate and timely filing of all tax returns and related compliance obligations.
- Review tax positions to ensure adequate technical support and documentation.
- Monitor legislative and regulatory developments and assess impacts on the Company.
- Drive continuous improvement and automation of tax compliance processes.
- ASC 740 & Income Tax Accounting
- Lead the quarterly and annual tax provision process in accordance with ASC 740.
- Oversee current and deferred tax calculations, effective tax rate analysis, valuation allowances, and tax account reconciliations.
- Prepare and/or review tax-related financial statement disclosures and supporting schedules for SEC reporting.
- Manage FIN 48 (ASC 740-10) uncertain tax position analyses and related disclosures.
- Partner closely with SEC reporting, accounting, and external auditors to ensure timely reporting requirements are met.
- Tax Planning & Strategy
- Develop and implement tax planning strategies that align with the Company's business objectives while minimizing tax liabilities.
- Identify opportunities to optimize the Company's effective tax rate and cash taxes.
- Evaluate the tax implications of operational initiatives, reorganizations, financing arrangements, acquisitions, and divestitures.
- Collaborate with business leaders to provide practical tax guidance that supports commercial objectives.
- Non-Income Tax Responsibilities
- Oversee compliance and planning related to non-income tax obligations, including sales and use tax, severance tax, property tax, and other industry-specific taxes.
- Review and monitor tax filings prepared internally or by third-party providers to ensure timely and accurate compliance.
- Manage sales/use tax audits, severance tax examinations, property tax assessments, and related controversies with state and local taxing authorities.
- Monitor legislative and regulatory developments affecting indirect taxes and assess impacts to the Company.
- Develop and maintain controls and processes to ensure compliance with multi-state tax requirements and support audit readiness.
- Research & Technical Analysis
- Conduct and oversee complex tax research projects.
- Prepare technical memoranda supporting tax positions and planning initiatives.
- Analyze impacts of new tax legislation, court decisions, and regulatory guidance.
- Provide recommendations to management regarding technical tax matters.
- Tax Audit & Controversy
- Manage federal, state, and local tax audits and inquiries.
- Cookp responses to information requests and examination issues.
- Develop technical support and written responses for taxing authorities.
- Work with external advisors to resolve tax controversies and minimize exposure.
- Transaction Support
- Provide tax guidance on significant contracts, business transactions, acquisitions, dispositions, and restructuring activities.
- Participate in due diligence efforts and integration planning for acquisitions.
- Assess tax risks and opportunities related to strategic business initiatives.
- Leadership & Team Development
- Serve as a mentor and technical resource for Tax Analysts and Tax Accountants.
- Review team work product and provide ongoing coaching and development.
- Establish processes and controls that promote accuracy, efficiency, and compliance.
- Foster a culture of accountability, collaboration, and continuous improvement.
- Manage external tax advisors and consultants, as needed.
Qualifications
- Bachelor's degree in Accounting, Finance, or Business Administration.
- Minimum of 8-10 years of progressive tax experience in public accounting and/or a large corporate tax department.
- Strong knowledge of federal, state, and local income taxation.
- Significant experience with ASC 740 income tax accounting and tax provision processes.
- Experience with uncertain tax positions (FIN 48/ASC 740-10).
- Demonstrated tax research and technical writing skills.
- Experience managing tax audits and controversy matters.
- Excellent written, verbal, and interpersonal communication skills.
- Strong analytical, problem-solving, and project management capabilities.
- Ability to influence business partners and communicate effectively with senior leadership.
