Director, Senior Legal Counsel - Structured Notes

About the role

Contributes to the overall success of the U.S. Legal Department in a wide range of regulatory matters within the Global Banking and Markets division, with a primary focus on the Bank’s Structured Notes program.

Responsibilities

• Provides Legal Support to the Bank’s structured notes program for instruments issued via SEC registration, Rule 144A and/or Regulation S or other applicable exemptions from registration, and linked to various asset classes such as equities, rates, commodities, currencies, indices or baskets of the foregoing.
• Advises on U.S. securities laws and FINRA requirements related to marketing and issuing of structured products as well as various matters related to the hedging of structured notes issuances.
• Manages legal aspects of structured products transactions, including reviewing prospectuses/offering memoranda, other marketing materials, external counsel opinions and deal documentation and participating in presentations of new products to relevant internal committees.
• Acts as the Legal Department’s liaison with other corporate functions supporting all products and initiatives related to the Bank’s Structured Notes program.
• Crosses coordinates closely with Head Office Legal department colleagues to help ensure consistency, where appropriate, with Scotiabank’s structured notes program in other jurisdictions and assist with maintenance of U.S. registered shelf.
• Reviews and negotiates underwriter and dealer agreements, accession letters, licenses and other related agreements, as well as drafts and maintains template agreements for the Bank’s Structured Notes program.
• Maintains awareness of legal and regulatory developments, evaluates their impact on all affected business areas, and coordinates and discusses as necessary with internal stakeholders.
• Serves as Legal stakeholder on working groups, managing projects and engaging with the firm’s advocacy efforts relating to regulatory issues and regulatory change.
• Advise internal stakeholders across the front office and other corporate functions in developing and implementing key strategic projects and new initiatives.
• Analyzes legal and regulatory issues and provides timely and well-researched work product on legal matters affecting the Bank’s Structured Notes program.
