Essential Duties & Responsibilities
- Advise executive leadership, and board of directors as needed, on nonprofit governance, healthcare regulations, employment law, risk exposure, and organizational strategy.
- Review and interpret organizational policies and procedures and assess alignment with applicable federal, state, and local laws.
- Review critical business agreements and vendor contracts, providing substantive legal insights and guidance.
- Oversee intellectual property, commercial leases, licensing, and related legal matters.
- Manage relationships with outside counsel and oversee claims, disputes, litigation, and other legal proceedings.
- Develop, implement, and enhance compliance programs that promote ethical conduct and regulatory adherence.
- Partner with Operations to support administrative, technical, and physical safeguards related to privacy and data protection.
- Provide legal guidance and training on compliance, privacy, and regulatory matters.
- Monitor legal and regulatory developments and evaluate organizational implications.
- Advises leaders on legal and operational risks associated with organizational activities, initiatives, and partnerships.
- Partner with organizational leaders to support complaint management and resolution.
- Evaluate considerations and potential risk implications associated with organizational decisions and activities.
- Advise the Board of Directors on compliance matters, governance responsibilities, and fiduciary duties.
- Prepare board materials and ensure adherence to nonprofit governance best practices.
- Provide legal guidance on labor and employment laws and related legal matters.
- Partner with HR on employment-related matters involving legal risk and organizational policy, as needed.
- Partner with HR on investigations, disciplinary actions, and other sensitive personnel matters, as needed.
Knowledge, Skills, & Experience
- Juris Doctor (JD) from an accredited law school required.
- Active membership in good standing with at least one state bar required.
- Minimum 10 years of legal experience required.
- Experience within nonprofit, healthcare, regulatory, or other mission-driven organizations preferred.
- Experience supporting organizations that work across healthcare, public sector, and other complex partner environments.
- Experience advising executive leadership and governing boards on legal, governance, compliance, and organizational matters.
- Experience interpreting and applying federal and state laws and regulations in support of organizational operations and decision-making.
- Experience reviewing, negotiating, and advising on contracts and legal agreements.
- Experience managing outside counsel and matters involving litigation, claims, disputes, or other legal proceedings.
- Experience supporting privacy, compliance, and risk-related initiatives, including HIPAA and data privacy requirements.
- Experience managing intellectual property portfolios preferred.
- Knowledge of HIPAA, health privacy, data security, and related regulatory requirements.
- Demonstrated ability to assess legal risk, exercise sound judgment and provide legal guidance in complex situations.
- Demonstrated accuracy, attention to detail, and ability to manage multiple priorities and complex legal matters.
