About the role

Join the Legal team that supports CSIM. This position primarily will be responsible for legal support of exchange traded products (ETPs) that CSIM manages or sponsors. The ETP business will cover the public offer of listed ETPs that may invest in cryptocurrencies, commodities, futures, and other asset classes. You will be involved in the strategy and development, drafting of offering documents, initial offering, and ongoing maintenance of the CSIM’s ETPs. Support will include strategic initiatives, regulatory compliance, and negotiating agreements with distribution platforms. The ideal candidate will have experience in the organization and distribution of registered funds and private funds and in the transactional, regulatory, and compliance aspects of using derivatives. Candidate should have familiarity with the Investment Company Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and the Commodities and Exchange Act.

Responsibilities

  • Preparation and filing of prospectuses and offering memorandums.
  • Advise on the legal and regulatory requirements for publicly listed ETPs and private funds.
  • Draft and negotiate agreements with third-party service providers.
  • Aid in preparing annual, quarterly, and current reports.
  • Provide legal guidance on related marketing or disclosures, and on policies and procedures.
  • Monitor regulatory developments applicable to ETPs, cryptocurrencies, commodities, and derivatives and advise senior leadership and the business on the impact.
  • Work with and manage outside counsel.
  • Build and maintain strong partnerships with the relevant business teams and compliance and legal colleagues to ensure clear alignment and priorities within the appropriate legal and regulatory framework.

Requirements

  • Juris Doctor (JD) from a top-tier law school or a top degree from a leading university and active membership in a state bar.
  • 5-10 years legal experience in a large broker-dealer or asset management firm. Law firm experience in a practice related to financial services or practical business experience may be substituted for in-house experience.
  • Strong drafting skills and an attention to detail.
  • Ability to identify and analyze contractual issues and provide solutions.
  • Developed negotiation skills and a willingness to engage with counterparties.
  • Excellent oral and written communication skills. Ability to present to senior leaders in Legal and key partners.
  • Ability to work on multiple projects, prioritize activities, and meet deadlines with strong organizational skills.
  • Must be a self-motivated professional with excellent people skills and able to work independently.

Qualifications

  • Experience in the organization and distribution of registered funds and private funds.
  • Experience in the transactional, regulatory, and compliance aspects of using derivatives.
  • Familiarity with the Investment Company Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and the Commodities and Exchange Act.
