What You’ll Do
- Lead all M&A and strategic transactions — mergers, acquisitions, divestitures, joint ventures, and restructurings — as primary legal advisor from origination through post-closing integration; partner with senior management to shape strategy aligned with Infoblox's corporate development roadmap
- Own the end-to-end deal lifecycle — due diligence, risk assessment, negotiation, signing, closing, and integration — making final decisions on deal structures and ensuring operational effectiveness
- Advises on corporate governance matters, including board and committee materials, governance policies, minutes, consents, subsidiary management, and corporate approvals
- Advises on securities law matters, help build public-company readiness infrastructure and support securities law reporting and disclosure processes
- Supports equity compensation and equity plan matters, including equity plan administration, award documentation, employee equity communications
- Drafts, negotiates, and finalizes complex transaction agreements, ensuring alignment with company policies and risk tolerance
- Manages outside counsel across jurisdictions and partners cross-functionally with Finance, Tax, HR, IT, Product, and Corporate Development to ensure seamless deal execution and risk mitigation
- Advise on corporate governance, subsidiary management, and compliance — including Board support, regulatory filings, entity structuring, and securities law — ensuring global legal entities adhere to applicable laws and policies
- Engages senior management, executives, and Board-level stakeholders on matters of strategic significance, presenting complex legal positions with clarity and business context
- Roll up your sleeves on whatever the business needs — there is no task beneath this role, and no ceiling on its scope
What You Bring
- Minimum 12 years of experience as a corporate, public securities & M&A lawyer at a top-tier law firm or in-house legal department with at least 7 years significant, hands-on public securities and M&A transactional experience (tech sector strongly preferred)
- Deep experience in M&A – including; cross-border transactions, joint ventures, divestitures, and post-merger integration – with a demonstrated track record of leading complex deals as a primary legal advisor
- Strong background in public-company securities and corporate governance matters, including SEC reporting, disclosure controls, board governance, proxy statements, annual meeting support and related securities law compliance
- Broad knowledge of corporate law, corporate governance, securities regulation, and subsidiary/entity management in a global technology company context
- Hands-on experience with equity compensation plan administration and related securities law compliance and exchange listing requirements
- Demonstrated ability to work on complex issues where problems are not clearly defined and where fundamental principles do not fully apply; proven skill in structuring creative solutions under time pressure and ambiguity
- Proven success interacting with and influencing senior management and executive leadership, including C-suite and Board-level stakeholders, on matters of strategic significance
- Strong expertise in managing and directing outside counsel across multiple jurisdictions and practice areas
- Extensive experience working with regulatory, securities and antitrust compliance framework
- Sense of urgency and bias toward action; executive-level presence and influence
- Excellent communication and presentation skills, with the ability to distill complex legal positions into clear, actionable business recommendations

Assess and begin refining M&A, corporate governance and securities processes and templates. Connect with mentors, and map the systems and stakeholders that rely on your work.
- Six Months: Deliver a signature win: lead or co-lead a large-scale strategic transaction from start to close, develop a key securities or governance framework, and build trusted advisor relationships with senior leadership.
- One Year: Become an end-to-end strategic leader that transcends functional and organizational boundaries, develop team members, and steer the Legal team's contribution to Infoblox's strategic transaction roadmap with data-driven insights and executive-level counsel.

Pay
$220,000– $300,000 plus bonus or commission.
