We're part of the Sony family and seek a Director, BLA - Corporate M&A to join our M&A and Strategic Investments legal team. This role supports complex transactions, from evaluation to closing, working closely with business partners and cross-functional teams.

What You'll Do

  • Support all aspects of global M&A, strategic investments, joint ventures, divestitures, and other corporate transactions.
  • Draft, negotiate, and finalize transactional agreements, including engagement letters, approval documents, NDAs, term sheets, joint venture agreements, equity and asset purchase agreements.
  • Drive and manage due diligence, coordinating with internal stakeholders and outside counsel.
  • Lead cross-functional workstreams, collaborating with Finance, Strategy, Tax, HR, Operations, and other partners.
  • Provide general corporate advice on governance matters and other transaction-related issues.
  • Enhance deal processes, advising on best practices, and driving continuous improvement in diligence and execution workflows.

Who You Are

  • 3+ years of relevant experience at a major law firm, with significant M&A responsibilities.
  • JD from a reputable law school, admitted to the New York Bar.
  • Exceptional negotiating and drafting skills, with a keen attention to detail.
  • Strong communication and analytical abilities, able to articulate complex legal concepts clearly.
  • Collaborative approach with a service-oriented mindset.
  • Flexibility to handle multiple priorities in a fast-paced environment.
  • Proven ability to maintain high standards of accuracy and judgment.
