Counsel - Securities and Governance

A publicly traded clean energy technology company is seeking a Securities & Corporate Governance Counsel to join its legal team. The company develops innovative energy solutions that support critical infrastructure, advanced manufacturing, data centers, and other energy-intensive industries. Responsibilities

• Lead compliance with SEC regulations, NYSE requirements, and public company reporting obligations, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Sarbanes-Oxley compliance.
• Partner with senior executives on earnings releases, investor communications, disclosure matters, and shareholder proposals.
• Advise on corporate governance, board matters, public company policies, and regulatory developments.
• Support equity and debt financings, M&A transactions, joint ventures, and other strategic initiatives.
• Provide legal guidance on international business operations and subsidiary management.
• Monitor governance trends, SEC developments, and corporate best practices.

Qualifications

• J.D. from an accredited law school and at least 10 years of relevant legal experience.
• Minimum 5 years of law firm experience.
• In-house securities and governance experience at a public company required.
• Strong background in SEC reporting, corporate governance, and public company compliance.
• International experience preferred.
• Experience supporting manufacturing, industrial, energy, or technology companies is a plus.

Pay

$209,100-$300,900 base salary.
