About the role

You'll be joining the Carta Law team within the Contracts team - Americas function. This team manages the full lifecycle of commercial contracts for clients—from first review through to execution. As the direct day-to-day contact for sophisticated investment fund and asset manager clients, you will work alongside fellow lawyers and paralegals, delivering high volumes of pre-M&A contract work at speed, supported by AI-backed tools including Carta's proprietary platform, Ava.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts—including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters—directly liaising with counterparties and adhering to agreed turnaround times.
• Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers.
• Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations.
• Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
• Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools.

Requirements

• 6-8+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Experience working with asset managers, investment banks, or other financial services firms and understanding their expectations.
• Licensed to practice law in the Americas (US/Canada).
• Comfortable working with and evolving a legal technology suite (e.g., AI tools, HighQ); an interest in legal tech or AI is a strong plus.
• Commercially minded and client-focused, with the ability to communicate legal advice crisply and concisely.
• Self-starter who thrives in a fast-paced environment, prioritizes effectively, and looks for ways to improve and innovate.

Pay

• $149,600 - $187,000 in Hamilton Township, NJ and Denver, CO.
• $140,800 - $176,000 in Sandy, UT.

Final offers may vary based on geography, experience, expertise, and other factors.
