Corporate Transactions Attorney - Remote

About the role

We are seeking experienced Corporate Transactions Attorneys with strong M&A expertise to support a legal AI training and evaluation project. The role involves reviewing contracts, performing redlining and negotiation exercises, and providing expert feedback to improve AI‑generated legal analysis. This is a contractor position, remote.

Responsibilities

• Perform contract drafting, review, redlining, and simulated negotiations.
• Evaluate AI responses to M&A and contract‑related scenarios.
• Develop objective evaluation criteria for AI performance.
• Provide expert feedback to improve AI outputs.
• Collaborate with product and research teams on legal AI workflows.

Qualifications

• J.D. from an ABA‑accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• 2+ years of experience in the M&A department of a corporate law firm.
• Familiarity with standard M&A agreements, including SPAs and APAs.
• Excellent written and verbal communication skills.
• Strong analytical and attention‑to‑detail skills.
• Ability to translate legal expertise into actionable feedback for AI systems.
• Experience working in fast‑paced, cross‑functional environments.
