Corporate Transactions Associate (Dallas)

About the Role

Dykema’s Corporate Finance group seeks an associate with 4–6 years of experience to join its Dallas office. The ideal candidate will have significant experience in mergers and acquisitions and a strong interest in the healthcare industry. Prior exposure to the healthcare sector is a plus. This role will primarily support transactions for Dykema’s industry-leading Medical and Dental Services Organizations group.

Responsibilities

• Draft and negotiate acquisition agreements and related ancillary documents.
• Handle financing transactions and general corporate representation, including entity formation, capitalization, corporate governance matters, operating agreements, and commercial relationships.
• Draft, review, and negotiate a broad range of agreements, such as SaaS agreements, technology agreements, master services agreements, and other vendor and commercial contracts.
• Work collaboratively with colleagues and clients at all levels.

Requirements

• 4–6 years of experience in mergers and acquisitions.
• Strong interest in the healthcare industry; prior exposure is a plus.
• Experience with technology outsourcing and commercial transactions.
• Eligibility for admission to the Texas State Bar.
