Corporate Tax Attorney

About the role

A boutique corporate law firm is looking for a corporate tax attorney to join its team on a contract basis. The work involves reviewing and drafting tax provisions in LLC agreements, asset purchase agreements and stock purchase agreements, advising on partnership tax matters, including forming LLCs with multiple classes of interests, analyzing qualified small business stock and Section 409A issues, advising on entity formation and reviewing executive employment agreements from a tax perspective.

Requirements

• 8+ years of experience practicing corporate and transactional tax law in an AmLaw 200, midsize or sophisticated boutique law firm
• Prior experience advising on the tax aspects of M&A transactions, particularly asset and stock purchases
• Strong working knowledge of partnership tax rules, QSBS and Section 409A
• Strong academic credentials from an ABA-accredited law school
• Excellent analytical, written, verbal and interpersonal skills, including comfort working directly with clients as part of a team
• Licensed to practice law in NY (preferred); NJ or CT licensure will also be considered

Compensation

The annualized pay for this position ranges from $208,000 to $312,000 when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
