Corporate Shareholder Attorney
About the role
A prestigious law firm is seeking a seasoned Corporate Shareholder Attorney to join their dynamic legal team. The ideal candidate will have expertise in corporate governance and entity formation, including experience with corporate entity structure, asset and stock sales, corporate/entity transactions, and securities law.
Responsibilities
- Provide legal advice and guidance on a range of corporate governance issues, ensuring clients' compliance with relevant laws and regulations.
- Assist in the formation and structuring of corporate entities, including advising on the most appropriate entity type and jurisdiction for each client's needs.
- Handle all aspects of asset and stock sales, including drafting and reviewing purchase agreements, conducting due diligence, and negotiating terms.
- Oversee corporate/entity transactions, such as mergers, acquisitions, and joint ventures, ensuring all legal requirements are met and risks are appropriately managed.
- Advising on securities law matters, including compliance with federal and state securities regulations, public and private offerings, and shareholder rights issues.
- Represent clients in shareholder disputes and litigation, including drafting pleadings, conducting discovery, and advocating for clients in court.
- Stay up-to-date with changes in corporate and securities law, and advise clients on how these changes may impact their businesses.
Qualifications
- A Juris Doctor (JD) degree from an accredited law school.
- Admission to the Alabama (AL) state bar.
- Experience as a corporate attorney, focusing on corporate governance, entity formation, asset and stock sales, corporate/entity transactions, and securities law.
- Strong analytical and problem-solving skills, with the ability to provide practical legal advice aligned with clients' business objectives.
- Exceptional negotiation skills, with a proven track record of successfully closing complex transactions.
- Excellent communication and interpersonal skills, with the ability to build strong relationships with clients and team members.
- A portable book of business with a minimum of $100,000.

Pay
The salary range for this role is $120,000 - $180,000 annually, commensurate with experience.
Schedule
This is a permanent position with a flexible schedule to accommodate the needs of both the employee and the employer.
