Responsibilities

• Provide expert counsel on public company rules, securities offerings, and corporate governance.
• Draft, review, and advise on SEC filings and proxy statements.
• Support client companies on compliance with federal securities laws and regulations.
• Aid in reporting and corporate governance matters, including managing board resolutions and internal policies.
• Work on complex and varied securities issues, collaborating with both internal teams and clients.

Requirements

• JD from a top-tier law school.
• 9+ years of experience in securities law, with deep knowledge of public company regulations, securities offerings, and corporate governance.
• Strong experience with SEC filings, including Forms 10-K, 10-Q, 8-K, and Section 16 reporting (Forms 3, 4, and 5).
• Proven ability in drafting proxy statements, board resolutions, and corporate governance documents.
• Experience with broker-dealer, FINRA, investment adviser, or fund formation is a plus.
• NY Bar admission required.

Compensation & Benefits

• Competitive salary ranging from $230,000 to $260,000, based on experience and qualifications.
