About the role
As a Corporate & Securities Associate, you will support clients on a range of matters including commercial agreements, tech transactions, drafting shareholder agreements and LLC operating agreements, taking board minutes, drafting resolutions, mergers & acquisitions (due diligence, disclosure schedule and document drafting, managing closings), joint ventures, debt and equity capital markets transactions, and public company reporting. You will report to the Corporate M&A Team Leader and work directly with world-class attorneys who have practiced both in-house as public company GCs and in Big Law domestically and internationally.
This remote-first role offers substantial client contact, professional growth, and mentoring through exposure to a wide variety of deals. You will have the opportunity to build skills that set top attorneys apart, take on immediate client-facing responsibilities, and shape your own career path and practice direction—all while working from anywhere within PST or MST time zones.
Responsibilities
- Draft and manage commercial agreements and tech transactions
- Prepare shareholder agreements and LLC operating agreements
- Take board minutes and draft resolutions
- Lead or support mergers & acquisitions, including due diligence, disclosure schedules, document drafting, and closing management
- Handle joint ventures, debt and equity capital markets transactions, and public company reporting
- Play a leadership role in managing key aspects of strategic transactions
- Conduct and manage due diligence reviews
- Draft primary and ancillary transaction documents and disclosure schedules
- Prepare client summaries of transaction documents
Requirements
- 2-4 years of experience working with corporate clients at a top-tier law firm, with a primary focus on strategic transactions
- Experience drafting or reviewing anti-sandbagging clauses, “first-dollar” indemnity clauses, and waterfall spreadsheets
- Familiarity with drafting disclosures and knowledge of Reg D, Rule 144A, and Category 1 versus Category 3 Reg S offerings
- Enthusiasm for expanding skills to meet a variety of needs across the practice group
- Initiative, availability, and eagerness to thrive in a distributed environment
