Corporate Legal Counsel
About the role
The Corporate Legal Counsel supports the Company’s day-to-day business operations including matters related to contracts, regulatory compliance, dispute management, and other legal matters as assigned.
Responsibilities
- Provides practical, solution-oriented legal counsel on a broad range of corporate and commercial matters, balancing business objectives, regulatory compliance, and legal risk.
- Drafts, reviews, and negotiates a wide range of commercial contracts and other legal documents.
- Researches and advises on compliance with laws, regulations, contractual requirements, industry standards, organizational documents, company policies, and lender requirements.
- Manages and resolves contract disputes, subpoena responses, regulatory inquiries, and complaints.
- Supports litigation and other dispute resolution matters as needed.
- Conducts legal research and analysis on issues related to business operations and broader corporate matters (e.g., insurance licensing, real estate, employment, corporate governance, intellectual property, marketing, mergers and acquisitions, regulatory compliance, data privacy, AI governance).
- Contributes to the development and continuous improvement of legal processes, templates, and contract playbooks.
- Utilizes the Company’s contract lifecycle management (CLM) system and ensures the proper execution and storage of legal documents.
- Performs other projects, duties, and tasks, as assigned.
Additional Focus Areas
- Drives M&A for the Legal Department by performing due diligence, reviewing purchase agreements and drafting other requisite documents, partnering with the Business Unit, M&A, HR, Finance/Accounting, IT, and other corporate functions to ensure seamless closing and integration of the transaction, and managing each deal throughout its life cycle.
- Assists with the Company’s hiring efforts by reviewing prospective employees’ restrictive covenant and other binding agreements, drafting employment agreements, and researching and advising on applicable state employment laws and precedent.
Qualifications
- Juris Doctorate degree from an ABA-accredited law school.
- Active license to practice law and admission to at least one state bar maintained in good standing.
- Minimum 3 years of experience as a practicing attorney with demonstrated experience aligned to the responsibilities of this role.
- Previous law firm experience preferred.
- M&A diligence experience preferred.
- Insurance industry experience preferred.
- Regulatory compliance advisory experience (e.g., HIPAA, Medicare) preferred.
- Familiarity with privacy and information security laws, regulations, and standards (e.g., HIPAA, GLBA, GDPR, CCPA, NYDFS) preferred.
- Knowledge of the Investment Advisers Act of 1940 and related regulations governing SEC-registered investment advisers preferred.
- Experience utilizing a CLM system (e.g., Conga CLM) preferred.
- Strong verbal and written communication skills with the ability to provide clear legal advice to diverse audiences.
