About the role
We are seeking experienced in-house corporate development, mergers and acquisitions, and strategic finance professionals to complete realistic transaction exercises based on mock company materials. You will work with simulated CIMs, diligence reports, term sheets, financial statements, board decks, cap tables, and transaction data to produce professional M&A deliverables evaluated against clear quality standards.
Responsibilities
- Build three-statement transaction models, DCFs, trading comparables, and precedent transaction analyses
- Create accretion and dilution models, purchase price analyses, cap tables, equity waterfalls, and consideration models
- Evaluate transaction structures involving cash, stock, debt, earnouts, rollover equity, and contingent consideration
- Draft and compare indications of interest, letters of intent, term sheets, bids, and transaction proposals
- Analyze deal economics, valuation ranges, ownership outcomes, dilution, and financing requirements
- Prepare management presentations, buyer and target universes, data packs, board decks, and investment committee materials
- Build transaction timelines, approval paths, closing checklists, funds-flow schedules, and closing mechanics
- Screen inbound acquisition opportunities and assess strategic fit
- Create diligence request lists and synthesize commercial, financial, operational, legal, and technology findings
- Develop synergy models, integration plans, carve-out analyses, separation plans, and 100-day plans
- Document key assumptions, risks, recommendations, and transaction rationale

Requirements
- 4+ years of professional experience in an in-house corporate development or M&A role at an operating company
- Direct, hands-on ownership of live transactions from initial screening through diligence, negotiation, approval, closing, or integration
- Strong financial modeling and valuation skills
- Experience working with senior executives, business leaders, legal counsel, finance teams, and external advisers
- Ability to independently prepare decision-ready transaction materials
- Strong understanding of deal structure, valuation, diligence, negotiation, and transaction execution
- Excellent written communication, analytical judgment, and attention to detail
- Ability to clearly explain transaction risks, assumptions, and recommendations
Preferred Background
- Previous investment banking or private equity experience before transitioning into an in-house role
- Prior experience in Big Four transaction advisory, deals, valuation, or financial due diligence
- Experience completing multiple acquisitions, investments, divestitures, or integrations
- Experience working directly with boards, executive committees, or investment committees
- Experience leading cross-functional diligence involving finance, legal, tax, HR, technology, commercial, and operations teams
- Experience with post-merger integration, synergy tracking, or carve-out execution
- Experience reviewing or mentoring the work of junior corporate development professionals
