About the role
Eden Senior Care, founded in 2016, is a growing healthcare management company focused on managing and operating skilled nursing, rehabilitation, and assisted living communities across Minnesota, Wisconsin, Illinois, Ohio, Pennsylvania, Indiana, and Alabama. The company uses outside merger and acquisition firms to negotiate acquisitions with sellers' counsel and to work through lender documents on purchases and refinancing. This Corporate Counsel role brings that acquisition and refinancing legal work in-house, starting as a transactions attorney with a growth path to running Eden Senior Care's full merger and acquisition process.
Responsibilities
- Work with sellers' counsel to draft and negotiate transaction documents, primarily Operations Transfer Agreements (OTAs) and Asset Purchase Agreements (APAs), plus lender documents on acquisitions and refinancings with lenders' counsel.
- Own each deal from signed term sheet to close: manage the closing checklist with the lender, title company, sellers, and outside attorneys; pull required items from the finance team; and coordinate internal integration.
Qualifications
- At least 5 years of experience as a merger and acquisition attorney.
- Excellent communication skills — the role centers on coordinating many parties.
- Project-manager mindset with the ability to run a long closing checklist to completion.
- Strong judgment and confidence to negotiate on Eden Senior Care's behalf, trade points strategically, and hold ground without being steamrolled.
- Motivated by a 40-hour workweek and schedule flexibility over top-of-market law firm compensation.
Benefits
Values a 40-hour week and schedule flexibility over top-of-market law firm pay.
