Corporate Counsel - IT Transactions

Location: New York, NY or Edison, NJ. Candidate must be willing to work from either office 5 days a week.

About the role

Reviewing, drafting, and negotiating inbound and outbound procurement, sales, and revenue-generating agreements. Reviewing, drafting, and negotiating complex IT Services and Outsourcing Agreements including: Master Outsourcing Agreements, Professional Services Agreements, Bids and RFPs, Statements of Work, subcontracting agreements, software licensing, reseller agreements, NDAs, and SOWs.

Responsibilities

• Structure, negotiate, and draft Outsourcing, IT, and Services contracts as a service provider/vendor.
• Collaborate with sales teams in the technology and outsourcing industry.
• Work independently with strong organizational, communication, and problem-solving skills.
• Take a pragmatic approach to minimize redlines.
• Negotiate effectively, balancing customer perspective with organizational interests.
• Operate in a fast-paced environment with multiple clients and stakeholders.
• Incorporate feedback from internal stakeholders such as HR, Information Security, and Finance into documents.

Requirements

• At least 7–13 years of relevant work experience.
• Master’s in Law (LLM).

Pay

$138,600 – $191,400 a year.
