Corporate Counsel
The Opportunity: Corporate Counsel
About the role
This is a generalist seat with real ownership. You'll work across commercial, corporate, capital markets, M&A, and employment matters—not as support, but as a trusted partner to the business. You'll sit alongside a senior attorney and work directly with cross-functional leaders, which means your judgment will be in the room for decisions that shape how Tilt operates and grows.
Responsibilities
Own the commercial contract function—negotiate vendor agreements, tech and data integrations, marketing partnerships, and bank relationships.
Build and maintain templates and playbooks, and use AI tooling to make the whole operation leaner.
Drive corporate governance—manage board and committee materials, consents, minutes, and corporate records across the company and its subsidiaries.
Support cap table matters, equity administration, and the governance work required to get IPO-ready.
Lead on capital markets transactions—support equity and debt financings from term sheet through closing, including structured warehouse facilities.
Help build out Tilt's ABS platform and manage ongoing covenant compliance and lender diligence.
Partner with People on employment matters—advise on labor and employment questions with a focus on reducing exposure, and support equity compensation management including option grants and potential RSU transition.
Develop the cross-border frameworks that let us move with confidence as Tilt expands across markets.
