Responsibilities

  • Draft, review, and manage the organization's high-volume commercial contracts, vendor agreements, and non-disclosure agreements (NDAs).
  • Conduct detailed research into shifting state, federal, and international corporate laws, translating findings into actionable risk-mitigation recommendations for the business.
  • Assist the legal team with corporate record-keeping, preparation of documentation for strategic transactions, and internal policy enforcement.
  • Partner with the paralegal function to streamline the contract workflow, ensuring rapid 24-48 hour turnarounds on standard commercial requests.
  • Assist in managing information requests and supporting internal stakeholder queries regarding active contract provisions or minor disputes.
  • Provide legal advice and support to the business, focusing on commercial contracting, legal research, and corporate support.

Requirements

  • Juris Doctor (J.D.) from an accredited US law school and an active license to practice law in good standing in at least one US state bar.
  • Minimum of 4-6 years of corporate transactional experience, preferably originating within a reputable corporate law firm setting.
  • Exceptional contract drafting mechanics, strong foundational knowledge of commercial risk distribution, and a highly collaborative approach to problem-solving.

Qualifications

  • Experience in drafting, reviewing, and negotiating commercial agreements, Statements of Work (SOWs), license agreements, and vendor contracts.
  • Strong foundation in commercial risk distribution and contract law.
  • Ability to work independently and quickly adapt to new areas of the business.
  • Excellent communication and collaboration skills, both internally and externally.

Pay

The pay rate for this role is up to $175k/yr (15% bonus).
