Responsibilities
- Support the commercial contracts team by reviewing, drafting, negotiating, and advising on contracts including: (i) software license agreements (SaaS and on-premise (perpetual and subscription)); (ii) commercial contracts (including vendor contracts); (iii) partner and reseller agreements; (iv) professional services agreements; and (v) other agreements required to operate the business as required from time to time
- Support the Product and Engineering teams, advising on privacy, data, regulatory compliance, and the legal risks in product development, including data processing agreements, cross-border data transfers, and data subject request processes
- Review new product features and initiatives to identify legal issues early and help develop solutions that support the business
- Help support and guide Perforce’s approach to AI-related legal and regulatory considerations as the company deepens its use and deployment of the technology
- Support Perforce’s global compliance posture and regulatory adherence relating to privacy, conflicts of interest, ethics, country-of-origin compliance, export control, and anti-bribery, including the maintenance and updating of related policies and processes
- Proactively review and report on changes in relevant laws, regulations, and industry standards, as well as track emerging trends
- Support the corporate governance efforts by drafting board resolutions, written consents, and governance documents
- Support mergers and acquisitions and transaction workstreams as they arise, including drafting and negotiating transaction documents and supporting due diligence reviews
- Work cross-functionally with Finance, HR, Sales, Operations, and Product as a go-to legal resource, including supporting HR on employment-related matters as needed
- Help support the legal department’s implementation and use of AI-powered corporate and legal tools
Qualifications
- J.D. degree from an accredited law school
- Admitted to practice law in at least one US state
- 3-4 years of progressive experience in legal roles, a plus if the experience is in-house settings
- An understanding of the software and technology industry, including software licensing contract structures, the ability to diagnose legal problems, and present positive and creative solutions and alternatives for the business
- Highly responsive with a service-oriented attitude and the ability to manage competing priorities across multiple workstreams
- Ability to build relationships throughout the organization and manage internal stakeholder expectations with professionalism and responsiveness
- Willingness to contribute to the department’s efforts to find new ways to provide more efficient and cost effective services to our internal clients
- Demonstrated prioritization skills
- Outstanding written and oral communication skills
- Good understanding of corporate governance and management of complicated legal entity structures
- Experience with advising businesses located in multiple jurisdictions, including internationally
- Familiarity with privacy, AI, and corporate governance frameworks
