Responsibilities
- Manage and close transactions involving opening dental and medical offices or entire regions in various jurisdictions.
- Coordinate with operations partners and healthcare partners or high-level business executives.
- Work with the tax and finance team to structure complex transactions.
- Draft, negotiate, manage, and advise business teams with respect to complex contracts, including software licensing agreements, SaaS agreements, work orders, outsourcing arrangements, strategic alliances, vendor agreements and renewals, non-disclosure agreements, provider agreements, insurance contracts, and other commercial agreements.
- Advise the organization’s People Services, Human Resources, Benefits, Recruiting, Marketing, Tax, Procurement, and other departments regarding legal, compliance, and other issues affecting such departments.
- Provide advice to the organization on regulations related to dentistry and healthcare.
- Work with the operations and marketing teams to review and guide legal compliance for new initiatives and existing practices.
- Manage various legal projects to successful completion, including large multiple transaction initiatives and implementation of broad new legal structures for the organization.
- Perform online research and conduct electronic filings on legal and business-related matters.
- Handle confidential information with the highest degree of care.
- Effectively interact and communicate with the organization’s management, including executives, other internal clients, and outside counsel.
Qualifications
- J.D. degree from an ABA-accredited law school with bar admission and strong academic record.
- Admitted to the California bar or registered in-house counsel in California.
- 5+ years of combined large law firm and in-house experience in a sophisticated corporate setting.
- Significant experience with corporate and transactional matters, corporate governance, and commercial transactions, including with drafting and reviewing agreements and making filings with state and federal agencies.
- Exceptional organizational skills with an ability to manage multiple projects and meet deadlines while providing high-quality work product.
- Proficient computer skills in a Microsoft Windows environment (Word, Excel, PowerPoint, etc.) and in overall database management and record keeping.
- Familiarity with Salesforce, Smartsheet, DocuSign CLM, or other similar contract lifecycle management system is a plus.
