Responsibilities
- Handle various general corporate and public company/SEC matters
- Prepare, review and file proxy statements, reports (including 10-Ks, 10-Qs, 8-Ks and Section 16 reports) and registration statements with the SEC
- Analyze and prepare Board and Board Committee materials
- Handle merger and acquisition activities, including target analysis, due diligence, negotiation of acquisition and ancillary agreements, regulatory applications, SEC filings and closing and post-closing matters
- Avoidance of actual salary offers within this range may vary based on a number of factors, including the specific responsibilities of the position, the candidate’s relevant skills and professional experience, educational qualifications, and geographic location.
- Review and negotiate various corporate contracts, including confidentiality agreements
- Advises management at all levels with respect to various legal matters
- Reviews and advises on corporate policies and procedures impacting coverage areas
- Serves as a strategic legal partner and advisor to the business teams
- Covers and handles various corporate projects as determined by senior legal leadership
Qualifications and Education Requirements
- Minimum of 5-10 years' experience at a major law firm or in-house legal department of a medium or large public company
- Admitted and in good standing in the bar of at least one of the following states: Illinois, Indiana, Kentucky, Michigan, Minnesota or Wisconsin
- Ability to apply sound legal analysis and practical business judgment to legal matters with a solutions-oriented approach that balances legal and business objectives
- Strong written, oral and interpersonal communication skills
- Ability to deliver timely, high quality work product
- Ability to work independently and collaboratively in a client-focused, team environment
