Corporate Counsel Our client is seeking a Secured Lending Attorney to join a sophisticated legal team supporting a broad range of commercial lending and financing transactions. This attorney will advise on secured credit facilities, asset-based lending transactions, syndicated loans, acquisition financings, restructuring matters, and related commercial finance activities. The role offers significant interaction with business stakeholders, senior leadership, external counsel, and lending partners. Responsibilites: Advise on secured lending transactions, including bilateral and syndicated credit facilities, asset-based loans, cash flow loans, acquisition finance, and refinancingsDraft, review, and negotiate loan documentation, including: Credit agreements, Security agreements, Guaranties, Intercreditor agreements, Pledge agreements, Collateral assignments, Subordination agreementsProvide legal counsel regarding perfection and enforcement of security interests under the UCC and other applicable lawsSupport underwriting, portfolio management, workout, and restructuring teams on lending mattersAnalyze collateral structures and legal risks associated with complex financing transactionsCoordinate with outside counsel and manage transaction execution from origination through closingAdvise internal stakeholders on regulatory, compliance, and risk management considerations impacting lending activitiesAssist with amendments, waivers, forbearance agreements, and distressed debt situationsDevelop and maintain form documentation, legal policies, and transaction processesMonitor legal and regulatory developments affecting commercial lending and secured finance marketsQualifications J.D. from an accredited law school.Licensed and in good standing in at least one U.S. jurisdiction.4+ years of experience in secured lending, commercial finance, banking, or private credit transactions.Experience gained at a leading law firm or within a financial institution, private credit fund, bank, or specialty finance companyExperience negotiating complex financing transactions with minimal supervisionStrong drafting, analytical, and problem-solving skillsAbility to manage multiple transactions in a fast-paced environment
